General Terms and Conditions for the Purchase of Products
on the website “https://sheep-me.com” and the related mobile application
Introduction
These general terms and conditions (“Terms”) of Sheep-Me Sàrl (Sheep-Me Sàrl, Route des Flumeaux 45, 1008 Prilly, Switzerland, telephone: 058 590 88 89, e-mail: info@sheep-me.com, website: https://sheep-me.com, commercial register: CH-550.1.256.887-6) (“Sheep-Me”), together with the external provisions to which they refer, apply to the legal relationships between Sheep-Me and any person registering on the website “https://sheep-me.com” and the “Sheep-Me” mobile application (together: the “platform”) in order to purchase consumable goods from third parties.
In the event of any contradiction between these Terms and any external document to which they refer, these Terms shall prevail.
Sheep-Me reserves the right to amend these Terms at any time and to publish the most recent version on the platform each time. The most recent version is authoritative and applies automatically to all existing or future legal relationships as soon as it is published on the platform. Sheep-Me may announce amendments to these Terms by e-mail, without being required to do so.
The provisions of these Terms highlighted in bold may be classified as unusual; the attention of any (potential) contracting party of Sheep-Me is expressly drawn to their content.
If these Terms are available in several languages, only the French version is authoritative, the others being provided strictly for illustrative purposes.
Role and general operation of the platform
Sheep-Me enables persons registered as consumers (“buyer(s)”) on the platform to use its features in order to purchase consumable goods (“product(s)”) from third parties (“seller(s)”).
Sellers and buyers may, through the platform, enter into contracts for the purchase of products.
Once concluded, every contract is legally binding on the seller and buyer concerned.
Sellers and buyers act on the platform autonomously and under their own responsibility.
Registration on the platform
Only a natural person who is at least 18 years old, domiciled in Switzerland and has full and unrestricted civil capacity may use the platform as a buyer after registering by creating an account (“registration”). By registering on the platform, the person concerned expressly confirms that they meet these conditions.
At the time of registration on the platform, Sheep-Me requires the person concerned to provide personal data (in particular first name, last name, postal address, e-mail address and telephone number), which must be provided accurately and completely.
Sheep-Me reserves the right to carry out any useful checks on the data provided and/or to require additional information or documents from the person registering, and, where applicable, to suspend the registration process.
As soon as it is validated by Sheep-Me, registration automatically and immediately gives rise to a contract between Sheep-Me and the buyer, relating exclusively to the buyer’s use of the platform. This contract is governed by these Terms, which the buyer accepts and declares to have read, understood and accepted without reservation.
Registration and the conclusion of the contract for use of the platform resulting therefrom may take place electronically, in particular by means of a checkbox, validation button or any other mechanism provided on the platform.
Registration is free of charge and does not, as such, entail the conclusion of any separate contract between the buyer concerned and any seller, nor any obligation to conclude such a contract or to use the platform.
By submitting a registration request, the person concerned confirms that they are aware of how the platform works and of the features to which the contract will give them access.
There is no right to registration or to use of the platform, which Sheep-Me manages freely. Sheep-Me reserves the right to refuse, suspend or exclude any buyer from the platform without notice or justification and without the buyer concerned being entitled to assert any claims against Sheep-Me.
Relationships between sellers and buyers
The information appearing on the platform relating to the sale of products (“offer(s)”) is published by sellers under their own responsibility and constitutes offers by them to enter into contracts for the sale of the products offered.
The offers do not originate from Sheep-Me and do not bind it. Sheep-Me is not required to verify them. In particular, Sheep-Me is not required to ensure (i) the truthfulness and accuracy of the content of the offers, (ii) the qualities of the products offered, or (iii) the capacity of the sellers publishing the offers to perform the contracts concluded on the basis of those offers.
With regard to offers, Sheep-Me only ensures (i) that the seller from whom they originate is immediately identifiable and (ii) that such seller actually exists.
In the event of doubt or any question regarding offers appearing on the platform, for example concerning the origin of certain foods or the presence of allergens in the products offered, the buyer must contact the seller concerned directly.
Unless otherwise stated, all prices indicated by sellers on the platform are understood to include all taxes, excluding transport and delivery costs.
The acceptance by a buyer of one or more offers from the same seller, by the simultaneous order of one or more products through the platform, automatically and immediately entails the conclusion of a sales contract between the seller and buyer concerned, relating to the product(s) ordered, whose rights and obligations they must comply with. Once concluded, a contract may no longer be amended.
The simultaneous acceptance of offers from several distinct sellers entails the conclusion of separate contracts between the buyer and each of the sellers concerned.
Sheep-Me is not a party to the contracts concluded between sellers and buyers through the platform. Subject to expressly contrary provisions, neither Sheep-Me nor its bodies or employees act as representatives, bodies, auxiliaries or employees of any seller or buyer. Sheep-Me assumes no liability for the negotiation, conclusion and performance of contracts concluded through the platform, or for the obligations arising from or connected with such contracts.
The contract concluded between a seller and a buyer is governed by Swiss law and its content is defined by reference to (i) the information published by the seller on the platform in its offers, (ii) the content of the buyer’s order, (iii) the common provisions of these Terms and the General Terms for Sellers (references), and (iv) mandatory law and, subsidiarily, default provisions, in particular those arising from the Code of Obligations.
By concluding a contract through the platform, the seller concerned undertakes to provide the products ordered by the buyer within a reasonable period, that is, as soon as possible according to the ordinary course of business and the buyer’s instructions, while the buyer undertakes to pay the full price (including VAT) immediately upon conclusion of the contract.
The seller is solely responsible for any defects in the products ordered.
The transfer from the seller to the buyer of the risks and benefits relating to the products ordered occurs when each product is actually handed over to the buyer, where applicable after delivery (as defined below).
The rights and obligations arising, for the buyers and sellers concerned, from contracts concluded through the platform are non-transferable.
Delivery
In connection with the conclusion of a contract with a seller through the platform, the buyer may, if they wish the product(s) ordered to be delivered, conclude a separate contract with Sheep-Me for the collection, transport and delivery of the products in question (“delivery”); this separate contract is subject to these Terms.
The conclusion of a delivery contract may take place electronically, in particular by means of a checkbox, validation button or any other mechanism provided on the platform.
If the buyer does not opt for delivery by Sheep-Me, the buyer is responsible for collecting the products purchased themselves at the address indicated by the seller on its account.
At the time of order confirmation and conclusion of the delivery contract, the buyer must indicate the address at which delivery is to take place. This address may be different from the buyer’s own address. The delivery address must, however, be located in French-speaking Switzerland. The buyer undertakes to provide spontaneously, at the time of the order, all useful information, which must be complete and accurate, to enable delivery.
The price of the delivery relating to an order placed by the buyer with a seller is indicated on the platform at the time of the order and is understood to include VAT. By accepting this price, the buyer agrees to conclude a separate contract with Sheep-Me for the collection by Sheep-Me of the products ordered from the seller, their transport and subsequent delivery to the buyer at the address indicated by the buyer at the time of the order.
By concluding a delivery contract, Sheep-Me undertakes to use its best efforts to collect the products ordered, transport them and deliver them in person to the buyer or to any person designated by the buyer, as soon as possible or at the time specified by the buyer when placing the order, without the products ordered being damaged. Sheep-Me does not, however, assume any obligation to achieve a specific result under a delivery contract.
The seller is solely responsible for packaging the products ordered that are to be delivered.
The buyer undertakes to remain available and must take all necessary measures to be contactable, in particular by telephone, after concluding a contract with Sheep-Me for the delivery of products and until receipt of them.
If the buyer or the person designated by the buyer to receive the products ordered (i) refuses to receive them, (ii) is unable to receive them or (iii) is durably unavailable – that is, for more than 15 (fifteen) minutes – at the delivery address indicated when the products are to be handed over, Sheep-Me is authorized to leave the products, unattended, near the delivery address indicated by the buyer. In such cases, the buyer waives any claim against Sheep-Me or against the seller (under the separate contract concluded with the latter).
If delivery is made impossible or excessively complicated or lengthy due to circumstances beyond Sheep-Me’s control – for example demonstrations, blockages, force majeure events, road accidents or breakdowns – Sheep-Me reserves the right to terminate the delivery contract at any time, by fully reimbursing the buyer (i) the delivery price and (ii) any amount paid to the seller under the separate contract concluded with the seller. In such cases, the buyer waives any additional claim against Sheep-Me or against the seller (under the separate contract concluded with the seller).
Subject to the foregoing, a delivery contract may not be terminated once concluded and ends only once the products ordered have been delivered to the buyer.
In the context of a delivery, Sheep-Me gives the buyer no guarantee as to (i) the possibility of collecting the products ordered from the seller, (ii) the delivery time, which may depend on the availability of the products from the seller, (iii) the intrinsic quality of the products delivered and their conformity with the order placed by the buyer, or (iv) any deterioration in the quality of the products inherent in delivery (including reduction in taste properties, temperature or texture variations).
The rights and obligations arising from a delivery contract are non-transferable.
Sheep-Me reserves the right to subcontract all or part of the performance of its obligations arising from any delivery contract, to which the buyer consents in advance.
Buyer’s obligations arising from the platform-use contract (excluding delivery contract)
The buyer undertakes to ensure that the data mentioned on their account is at all times accurate and up to date. The buyer authorizes Sheep-Me to carry out any useful checks and to request, from the buyer or from third parties, any useful information to verify the truthfulness of the data mentioned by the buyer on their account.
The buyer undertakes to use their account strictly personally and, in particular, not to rent, share or make it available to any third party.
The buyer accepts and acknowledges that they are solely responsible for the use made of their account on the platform and are liable for it as if such use were always their own. In particular, the buyer must ensure that no involuntary use and no improper access to their account is possible, including by taking all measures to keep their identification data secret and protected.
The buyer undertakes to use the platform in accordance with the applicable legal framework, in good faith and respectfully, and in particular refrains from any use of mechanisms or systems likely to impair the proper functioning of the platform.
The buyer acknowledges that all intellectual property rights, including copyright and trademarks, relating to the platform are the exclusive property of Sheep-Me and may not be used by the buyer, but that, insofar as use of the platform nevertheless requires the granting of rights to use such intellectual property rights, such rights are granted temporarily and revocably by Sheep-Me, on a personal, non-exclusive and non-transferable basis, for the duration and scope of use of the platform and strictly for that use alone.
The buyer undertakes that any inscriptions, texts, illustrations and other communication elements issued in any form on the platform, or communicated in connection with its use or in the performance of contracts concluded through it, shall not infringe the personality rights of third parties. In particular, the buyer refrains from issuing elements that are insulting, obscene, defamatory, intrusive, disparaging or damaging to honour.
The buyer is prohibited from using the platform for advertising purposes, which are strictly forbidden.
Sheep-Me’s obligations arising from the platform-use contract (excluding delivery contract)
Sheep-Me undertakes to use its best efforts to ensure that the platform is accessible at all times, without however guaranteeing such access, which may be restricted or suspended, in particular in the event of updates, interface changes, support, failures, cyberattacks, decisions by an authority, etc.
Sheep-Me undertakes to use its best efforts to enable use of the platform that is safe and free of danger to the buyer’s IT interface, without however guaranteeing entirely secure access and use.
Sheep-Me undertakes to process the buyer’s personal data (within the meaning of the FADP) in accordance with its data protection policy, which is available on the platform and to which express reference is made.
Sheep-Me assumes liability, in the event of breach of its contractual obligations arising explicitly from these Terms, only for direct damage resulting from intentional misconduct or gross negligence on its part or on the part of its bodies or employees. The liability of Sheep-Me, its bodies and employees for direct damage caused by slight negligence, whatever the legal basis, is expressly excluded. Any liability of Sheep-Me, its bodies and employees for indirect damage, whatever the legal basis, is entirely and expressly excluded.
Duration; termination; end
The platform-use contract is concluded for an indefinite period.
Each party may terminate the platform-use contract with immediate effect, in writing or via the platform.
Termination and the end of the platform-use contract have no effect on the validity of contracts concluded between the buyer and any seller before its end, nor on delivery contracts concluded between the buyer and Sheep-Me.
Termination and the end of the platform-use contract have no effect on the rights and obligations of the parties that arose from that contract before its end or as a result of it.
General provisions
If certain provisions of these Terms are wholly or partially void, annulled or unenforceable, the remaining provisions shall not be affected. The unenforceable and/or void provisions shall then be replaced by effective provisions whose content is as close as possible to the meaning and economic purpose of the original provisions.
All disputes arising from these Terms are governed by Swiss law, excluding private international law provisions.
